Sanplex Cloud Project Management (hereinafter referred to as Sanplex Cloud) is an online project management service provided by Qingdao Nature Easy Soft Network Technology Co., Ltd (hereinafter referred to as Nature Easy Soft Ltd). If you want to apply for a Sanplex Cloud account and use the corresponding services, you must agree to this agreement first.:
1. Confirmation and Acceptance of the Terms of Service
(1) You must be a company or individual who can take the corresponding legal responsibilities. If you do not have the qualification, you are not allowed to use the service by Sanplex Cloud;
(2) When you use the service, you have been informed and agree to the 《Sanplex Cloud Project Management Agreement》;
(3) The agreement will be modified as necessary and the user will be notified in a visible manner after the update;
(4) By continuing to use the services provided by the system, you are accepting the new agreement.
2. Services
(1) The services described in the agreement are only valid on the website Sanplex Cloud, which refers to https://www.sanplex.com and its affiliated pages;
(2) Sanplex Cloud has the right to adjust the services independently according to the actual situation.
3. User's Data
(1) Before using Sanplex Cloud service, you must register a legal account on its official website and fill in all information truthfully. If you are not notified in time due to incomplete information, Nature Easy Soft Ltd will not be responsible for any losses;
(2) You should protect your account and password properly and allow nobody using them. Nature Easy Soft Ltd is not responsible for any losses caused thereby;
(3) You must obey relevant laws and regulations when using the Sanplex Cloud Services. We are not responsible for disputes with other companies or individuals arising from the service usage;
(4) Sanplex Cloud website reserves the right to suspend services for malicious accounts without special notice.
(5) Please be aware that in order to ensure the legal compliance and utilize the account resources effectively, Sanplex Cloud has the right to recall or ban the account and its data in the following scenarios, and Sanplex Cloud will not keep the data after recalling or banning, and you will be responsible for any losses caused thereby:
- Your site has expired for more than 90 days;
- Your free site has not been logged in for more than 31 days;
- You have not registered or bound with a legal email address, mobile number, or real-name authentication;
- Your account violates the relevant provisions in this Agreement or laws and regulations, or at the request of the competent authorities;
- Other scenarios that Sanplex Cloud believes your account should be recalled or banned.
4. Charges
(1) Before officially using Sanplex Cloud Service, you need to apply for a site that access by .sanplex.com as a second domain name;
(2) Standard Version and Premium Version are paid services. We will provide 30 days for your free trial, please renew your subscription in time. If you do not renew, you are considered to have abandoned the service. The site service will be automatically terminated and recalled after 30 days, all the data in the site will be empty;
(3) Sanplex Cloud reserves the right to adjust the charging mode and specific amount. Referring to the paid services, we will notify you via email at least 30 days in advance.
5. Service Termination
In any of the following scenarios, Sanplex Cloud website has the right to suspend, terminate, cancel or refuse the account service at any time:
(1) The account is in breach of the Agreement or any of the terms and conditions already agreed upon;
(2) Terminate the service in accordance with the instructions in the Agreement;
(3) Spamming duplicate letters with the publishing feature of Sanplex Cloud website;
(4) Sending large amounts of unsolicited or unauthorized information that related nothing to our business to Sanplex Cloud accounts;
(5) Publishing commercial information and conducting commercial activities in the name of other companies;
(6) Attack the data, network or services of Sanplex Cloud website;
(7) Stealing someone else's account and password on Sanplex Cloud website.
The following information is strictly prohibited and absolutely terminates the account service without refund of the purchase fee:
(1) Derogatory remarks about religion, race or gender;
(2) Harass, abuse or threaten other accounts;
(3) Information that infringes any third party's copyright, patent, trademark, trade secret or other proprietary right, right of publication or right of privacy;
(4) Any other information that violates Internet-related laws and regulations.
6. Rights and Obligations of Sanplex Cloud Users
(1) Once Sanplex Cloud Service is in effect, the account can enjoy the corresponding services;
(2) When using the corresponding services provided by Sanplex Cloud, users must ensure to comply with the provisions of relevant local and Chinese laws and regulations, that they do not use the website for any illegal activities, and that they comply with all agreements, regulations, procedures and practices related to the website usage;
(3) Sanplex Cloud users are responsible for the accuracy, reliability, legality and applicability of the input data;
(4) We provide several daily backups of your site, and you are obliged to download the backups in time to ensure keeping data loss.
7. Rights and Obligations of Sanplex Cloud
(1) Sanplex Cloud does its best to ensure proper access to the service and backup of data;
(2) Sanplex Cloud provides corresponding consulting, technical support and other services for fee-based users;
(3) For service interruptions, link blockages or other defects caused by force majeure (including but not limited to natural disasters, social events and any factors affecting the normal operation of the network due to the special nature of the website, including system crashes, data loss, hacker attacks, the impact of technical adjustments by telecommunications departments, temporary closures caused by government controls),Sanplex Cloud website will not assume any responsibility, but will do its best to reduce the losses and impacts on the members;
(4) Sanplex Cloud website is not legally responsible for damages caused by the user's use of Sanplex Cloud service, regardless of the circumstances of direct, indirect, occasional, special, punitive damages or any other damages caused by the user's use of Sanplex Cloud service;
(5) If the service is abnormally interrupted due to Sanplex Cloud, Nature Easy Soft Ltd will not assume any responsibility, and will not be responsible for other joint losses suffered by members.
8. Privacy and Confidentiality
(1) The personal information you fill in when registering will only be used for the purpose of communication between Nature Easy Soft Ltd and you, and Nature Easy Soft Ltd shall not use it for commercial purposes;
(2) Any data that you generate through Sanplex Cloud belongs to you. Unless you voluntarily ask us to assist you in troubleshooting a problem, all employees of Nature Easy Soft Ltd are not authorized to view, edit, copy, or delete any of your data.
9. Final Interpretation
Qingdao Nature Easy Soft Network Technology Co., Ltd reserves the right of final interpretation of all activities, restrictions, etc. for Sanplex Cloud.
10. Settlement of Disputes
Any failure of either party to fulfill the responsibilities stipulated in the agreement between Sanplex Cloud website and the user shall be considered a breach of contract and shall be dealt with in accordance with the provisions of the Contract Law; if disputes arise between the two parties within the scope of this agreement, they shall be resolved by friendly consultation as far as possible. This agreement applies to the laws of the People's Republic of China. If a specific matter related to this agreement lacks clear legal provisions, reference shall be made to common international business practices and industry practices.
